Terms of Use

These terms govern access to the Confidante platform and this website. Please read them before using either.

Acceptance of these terms#

This section is placeholder copy. It shows the reading rhythm, measure, and spacing of the document template so the final language can be dropped in without layout work.

By accessing the platform, creating an account, or signing an order form that references these terms, the customer agrees to be bound by them. If the person accepting is doing so for an organization, they confirm they have authority to bind that organization.

If the customer does not agree, they may not use the platform.

Who may use Confidante#

The platform is offered to behavioral health organizations and their staff for business use. It is not offered to consumers, and it is not a source of clinical advice, diagnosis, or treatment.

  • The customer must be a legal entity able to enter into a contract.
  • Users must be at least 18 years old.
  • Users must be authorized by the customer to act on its behalf.

Accounts, access, and authorized users#

Account security

The customer is responsible for the credentials issued to its users, for keeping them confidential, and for all activity that occurs under them. Suspected compromise should be reported promptly.

Authorized users

The customer may grant access to employees and contractors who need it to operate the practice. The customer remains responsible for their use of the platform.

Acceptable use#

The platform may not be used in any way that breaks the law, infringes another party’s rights, or interferes with its operation. In particular, the customer agrees not to:

  • reverse engineer, copy, or resell any part of the platform;
  • attempt to access data belonging to another customer;
  • use the platform to send unlawful, deceptive, or harassing messages;
  • circumvent rate limits, security controls, or usage measurement;
  • represent platform output as licensed clinical judgment.

Customer data and protected health information#

The customer owns the data it submits. Confidante processes that data to provide the platform, to keep it secure, and to meet its legal obligations.

Aggregated, de-identified statistics may be used to operate and improve the platform. Those statistics never identify a patient, a provider, or a practice.

Fees, billing, and performance pricing#

Fees, billing frequency, and any performance-based components are set out in the order form. Unless it states otherwise, fees are invoiced in advance and payable within thirty days.

  1. Subscription fees cover platform access for the stated term.
  2. Performance fees are calculated from the measures named in the order form.
  3. Taxes are the customer’s responsibility unless an exemption is provided.

Intellectual property#

Confidante retains all rights in the platform, its models, its interfaces, and its documentation. The customer receives a limited, non-exclusive, non-transferable right to use the platform during the term.

Feedback is welcome and may be used without restriction or obligation.

Third party services and integrations#

The platform connects to electronic health record systems and other tools the customer already uses. Those services are governed by their own agreements, and Confidante is not responsible for their availability or their content.

Disclaimers#

The platform runs front-office work. It does not deliver care, and it does not replace clinical judgment. Except as expressly stated, the platform is provided as is, without warranties of any kind.

Limitation of liability#

Neither party is liable for indirect, incidental, or consequential damages. Each party’s total liability is capped at the amount described in the order form. Nothing in this section limits liability that cannot be limited by law.

Term, suspension, and termination#

These terms apply for as long as the customer uses the platform. Either party may terminate for material breach that goes uncured after written notice. Access may be suspended where continued use poses a security or legal risk.

On termination, the customer may request an export of its data for a period stated in the order form, after which it is deleted in line with the retention schedule.

Changes to these terms#

These terms may be updated as the platform changes. Material changes will be posted here with a new effective date, and notice will be sent to the account contact. Continued use after that date means the change is accepted.

Governing law and disputes#

These terms are governed by the laws of the state named in the order form, without regard to conflict of law rules. The parties will attempt to resolve disputes informally before starting a formal proceeding.
